Acceptance of Terms

Welcome to Bulk Studio. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and Bulk Studio ("we," "us," or "our") governing your access to and use of the Bulk Studio platform and all related services.

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy. If you do not agree to these Terms, you must immediately discontinue use of the Service.

Throughout these Terms, the following definitions apply:

Service Description & Availability

Bulk Studio provides a proprietary, cloud-based software platform designed for manufacturing businesses. The Service transforms operational data into predictable production cycles, streamlining workflows, quality control, and safety data management for enterprise clients.

Service Model

The Service is provided on a Software as a Service (SaaS) basis via subscription. We will use commercially reasonable efforts to ensure the Service is available with minimal interruptions. However, we do not guarantee 100% continuous availability and are not responsible for downtime due to maintenance, updates, or circumstances beyond our reasonable control.

Beta Features & Free Trials

From time to time, we may offer beta features, pilot programs, or free trial periods. These are provided strictly on an "AS-IS" basis with no warranties or representations regarding stability, accuracy, or continued availability. You should not rely on beta features or free trial services for critical production operations without independent validation.

Account Terms

Eligibility & Authority

To register for and use the Service, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater
• Possess the full legal authority to bind the corporate entity or organization you represent
• Be authorized to enter into these Terms on behalf of your organization
• Not be prohibited from using the Service under applicable law

Registration Requirements

When creating a User Account, you must provide accurate, complete, and current corporate and contact information. You agree to promptly update your account information to maintain its accuracy. Providing false or misleading information may result in immediate termination of your account.

Account Security

You are solely responsible for:

• Maintaining the confidentiality of your account credentials, including passwords and API keys
• All activities that occur under your User Account, whether authorized or unauthorized
• Ensuring that all employees, contractors, and authorized users comply with these Terms and applicable security standards
• Immediately notifying us of any unauthorized access or security breach

We will not be liable for any loss or damage arising from your failure to maintain adequate account security.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

Intellectual Property Violations

• Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Service
• Creating derivative works based on the Service's proprietary technology
• Copying, distributing, or disclosing any part of the Service in any medium

Harmful Conduct

• Introducing viruses, malware, or other malicious code into the Service
• Using the Service to manipulate production equipment illegally or in a manner that creates safety hazards
• Interfering with or disrupting the integrity or performance of the Service
• Attempting to gain unauthorized access to the Service or related systems

Safety & Quality Control Override

Unauthorized Access & System Abuse

• Sharing, transferring, or sublicensing your access credentials to unauthorized parties
• Conducting unauthorized penetration testing or security assessments without prior written consent
• Using automated systems (bots, scrapers, etc.) to access the Service in ways that create excessive load or jeopardize system stability
• Attempting to probe, scan, or test the vulnerability of the Service

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Service, with or without notice.

Intellectual Property Rights

Your Operational Data

You retain full, exclusive ownership of all Operational Data that you submit to, store within, or generate through the Service. This includes production specifications, schedules, quality logs, safety reports, and all other proprietary business information.

License to Bulk Studio

By using the Service, you grant Bulk Studio a limited, non-exclusive, worldwide, royalty-free license to access, use, process, and display your Operational Data strictly for the following purposes:

• Executing the Service and providing the features you have subscribed to (e.g., running optimization algorithms, generating reports, providing analytics)
• Creating anonymized, aggregated analytics to improve the platform's performance, accuracy, and features
• Complying with applicable legal obligations

We will not sell, rent, or disclose your Operational Data to third parties for their independent use without your explicit consent, except as required by law.

Bulk Studio's Intellectual Property

Bulk Studio retains all right, title, and interest in and to:

• The Service's proprietary software code, algorithms, and architecture
• All trademarks, service marks, logos, and branding
• Aggregated, anonymized benchmarking data derived from multiple customers
• All improvements, enhancements, and derivative works of the Service

Nothing in these Terms transfers any ownership rights in the Service or our intellectual property to you. Your subscription grants you only a limited right to access and use the Service during the subscription term.

Payment Terms & Subscriptions

Subscription Model

Access to the Service is provided on a subscription basis (monthly, annual, or as otherwise specified). All subscription fees are payable in advance. By subscribing, you authorize us to charge your designated payment method for the applicable fees.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellations take effect at the end of the current billing period.

Refund Policy

All subscription fees are non-refundable, except where required by applicable law. We do not provide refunds or credits for partial months or years of service, or for features you choose not to use.

Taxes

You are responsible for all applicable taxes, levies, duties, and governmental assessments (excluding taxes based on our net income) associated with your use of the Service. If we are required to collect or pay such taxes, they will be invoiced to you.

Price Changes

We reserve the right to modify our pricing. Any price increases will be communicated to you at least 30 days in advance via email or through the Service. If you do not agree to a price increase, you may cancel your subscription before it takes effect.

Payment Failures

If payment fails or your account becomes past due, we reserve the right to suspend or terminate your access to the Service until payment is received. You remain responsible for all fees incurred during the period of non-payment.

Disclaimers & Warranties

No Warranty

To the maximum extent permitted by applicable law, Bulk Studio expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of the Service's output
• Warranties that the Service will meet your requirements or operate without interruption or errors
• Warranties regarding production output quality, scheduling accuracy, or operational efficiency
• Warranties of regulatory compliance or workplace safety

Manufacturing-Specific Disclaimers

Bulk Studio specifically disclaims any warranty or representation that:

• Use of the Service will result in specific production outcomes, quality levels, or efficiency gains
• The Service's recommendations comply with industry-specific regulations or safety standards applicable to your operations
• The Service can replace human oversight, quality control inspections, or safety protocols
• Data generated by the Service is suitable for regulatory reporting without independent verification

You are solely responsible for validating all Service output against your internal standards and regulatory requirements before relying on it for production decisions.

Limitation of Liability & Indemnification

Limitation of Liability

To the maximum extent permitted by applicable law, Bulk Studio's total liability to you for all claims arising out of or relating to these Terms or your use of the Service shall not exceed the total amount paid by you to Bulk Studio in the twelve (12) months preceding the event giving rise to the claim.

Exclusion of Consequential Damages

In no event shall Bulk Studio be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Production delays, defects, or shutdowns
• Regulatory fines, penalties, or compliance costs
• Workplace safety incidents or injuries
• Data loss or corruption
• Cost of procurement of substitute services

This limitation applies regardless of the legal theory upon which the claim is based and whether or not Bulk Studio has been advised of the possibility of such damages.

Indemnification by User

You agree to defend, indemnify, and hold harmless Bulk Studio, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms or applicable law
• Production defects, quality issues, or product recalls related to your operations
• Regulatory fines or enforcement actions arising from your use of the Service
• Workplace safety incidents resulting from your reliance on Service output
• Delays, disruptions, or failures in your production processes
• Your Operational Data or any inaccuracy therein

Data Ownership & Handling

Your Data Ownership

As stated in the Intellectual Property section, you retain full ownership of your Operational Data. We act as a data processor on your behalf, handling your data in accordance with these Terms and our Privacy Policy.

Data Security

We implement commercially reasonable technical and organizational measures to protect your Operational Data from unauthorized access, loss, or disclosure. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

Data Backup & Export

We maintain regular backups of your Operational Data. You may export your data at any time through the Service's export functionality. We recommend maintaining your own independent backups of critical data.

Data Retention Upon Termination

Following termination of your subscription:

• You will have a 30-day grace period to export your Operational Data
• After the 30-day period, we will delete your Operational Data from our active systems
• Backup copies may persist in our systems for up to an additional 90 days for disaster recovery purposes
• Anonymized, aggregated data derived from your usage may be retained indefinitely for platform improvement

Termination

Termination by You

You may terminate your subscription at any time by canceling through your account settings or by contacting our support team. Termination will be effective at the end of your current billing period, and you will not receive a refund for any unused portion of your subscription.

Termination by Bulk Studio

We reserve the right to suspend or terminate your access to the Service:

• For Cause: Immediately and without notice if you violate these Terms, including the Acceptable Use Policy, or if your account poses a security risk
• For Convenience: With 30 days' written notice, for any reason or no reason
• For Non-Payment: If your account is past due or payment fails

Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases
• You must cease all use of the Service and any associated materials
• You will have 30 days to export your Operational Data before deletion
• Any outstanding fees become immediately due and payable
• Sections of these Terms that by their nature should survive termination will continue to apply (including Intellectual Property, Liability, Indemnification, and Governing Law provisions)

Governing Law & Dispute Resolution

Governing Law

These Terms and any disputes arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Mandatory Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively through binding arbitration rather than in court.

The arbitration shall be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA), and shall take place in Cheyenne, Wyoming. The arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction.

Class Action Waiver

Exceptions to Arbitration

Notwithstanding the above, either party may seek equitable relief in court for infringement or misappropriation of intellectual property rights.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email or through a prominent notice in the Service
• Provide at least 30 days' notice for material changes that adversely affect your rights

Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Bulk Studio regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, or sale of assets.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
